3M is seeking a Paralegal for the Corporate Mergers and Acquisitions Team located in Maplewood, MN. Be part of what’s next!
Job Summary :
The position will support 3M’s Corporate M&A team on a broad range of issues related to acquisitions, divestitures, minority investments, and acquisition integrations in an innovative, cost-effective, and timely manner.
Primary Responsibilities include but are not limited to the following:
- Assisting with legal due diligence, including reviewing and summarizing disclosures schedules and virtual data rooms, conducting lien searches, gathering publicly available information.
- Gathering and organizing relevant information about 3M businesses to be divested.
- Creating and maintaining virtual data rooms.
- Preparing ancillary transaction documents, including disclosure schedules, closing certificates, consents, powers of attorney, etc.
- Managing preparation, organization, and distribution of signature pages.
- Preparing and maintain transaction checklists.
- Coordinating signing and closing logistics. < li>Preparing closing sets.
- Developing and implementing best practices for acquisitions and divestitures.
- Serving as resource for broader 3M business and legal teams on M&A process.
- Supervising assigned support personnel and vendors on specified projects at the direction of attorney.
- Other duties as assigned.
Basic Qualifications:
- High school diploma/GED or higher from an accredited institution
- Paralegal/legal assistant certification from an ABA-approved program
- Minimum of two (2) years of paralegal experience
Preferred Qualifications:
- Either possess or currently pursuing a Bachelor’s degree or higher from an accredited university
- Minimum of three (3) years of paralegal experience
- Prior M&A experience
- Project management experience
- Experience with 3M or other international businesses
- Exceptional attention to detail and organizational skills
- Ability to work both independently and as a member of a team
- Ability to thrive in fast-paced, deadline-driven environment
- Ability to manage multiple, unrelated projects simultaneously
- Strong written/oral communication skills
- Proficiency in Microsoft Suite (Excel, Word, PowerPoint, etc.)
