We’re searching for a Senior Attorney to work as part of a team supporting business operations. An ideal candidate will have both prev! ious commercial and transactional experience (negotiating, drafting and reviewing), along with a practical, business-oriented approach to problem-solving and be able to thrive in fast-paced environment, tempered by an appreciation of legal complexity and risk.
You Will:
Work directly with the businesses units and will be expected to provide competent and efficient legal advice and services to the company and its subsidiaries. The legal work involves complex matters and you will draft, negotiate and review a wide variety of legal documents. This position requires applied commercial law and transactional experience to include various construction and engineering agreements, marketing and supply agreements, purchase and sale documents, leases, service agreements, license agreements, settlement agreements and releases, joint venture agreements, and general policy drafting.
Provide strategic advice and legal counseling on a variety of energy-related matte! rs such as negotiation and drafting of commercial agreements (! e.?g.?, fuel sales, supply, transportation and storage agreements), drafting of complex contracts (e.?g.?, strategic alliances, construction and engineering agreements) and supporting strategic transactions, such as acquisitions and joint ventures.? In addition, you’ll offer advice on regulatory and compliance matters and assist with design of effective controls to comply with applicable regulations.
Stay current with all applicable U.S. federal and state legal and regulatory requirements.
Interact with government agencies, law firms, trade organizations and other external agencies, as well as corporate officers and executive management.
Strategically and in a cost-effective manner, manage and partner with outside counsel in litigation matters.
Have excellent analytical skills and the ability to present findings and persuasively counsel clients. Essential skills include the ability to: render diplomatic, practical, and creative advice in a timely fashion; ! work independently and meet deadlines without direct supervision; handle multiple, changing priorities efficiently and to use discretion and judgment in executing assignments with high confidentiality; allow flexibility and creativity in resolving problems; work collaboratively with others and with a team approach to issues.
J.D. from an accredited institution; Admission to MN Bar. In good standing in all jurisdictions where admitted.
4-7 years of experience in commercial and corporate law.
Experience in both private practice and in-house counsel preferred.
Oil & gas and/?or transportation industry knowledge desirable.?
