As part of a corporate legal team, this attorney will be expected to independently drive sophisticated projects to completion while operating within a team-oriented, results-driven practice group which works collaboratively with its clients on complex legal matters.
Primary Responsibilities:
Provide legal support for UnitedHealth Group enterprise sourcing & procurement transactions in a wide range of categories, including information technology / licensing, transactional intellectual property, international services, treasury services, clinical, and business process outsourcing
Negotiate and draft complex and sophisticated agreements, including master services agreement, equipment purchase and lease agreements, software license agreements, software as a service / cloud computing agreements, data licenses, clinical trial / pilot agreements, and other similar agreements for IT and non-IT procurement commodities
Successfully negotiate favorable terms and liability profiles consistent with enterprise standards
Provide intellectual property and information technology diligence support and deal document negotiation for mergers & acquisitions transactions
Create and maintain template agreements and related negotiation support tools, such as playbooks and checklists
Develop and deliver training and support on current legal issues and developments
Manage and resolve disputes with vendors
Required Qualifications:
Juris Doctorate degree
5 or more years of sophisticated commercial / transactional legal experience
5 or more years of relevant experience including, negotiation and drafting of sophisticated vendor / supplier contracts, transactional intellectual property negotiations, information technology / licensing negotiations, clinical procurement, pilot / proof of concept agreements and other commercial ad hoc agreements as the need arises
Intermediate or better with Microsoft Office suite of tools including PowerPoint and Excel
Current admission to a U.S. state bar and admission to the Minnesota bar within one year of accepting offer of employment
Preferred Qualifications:
Major law firm experience
Experience doing complex legal work within the health care or similar highly regulated industry
Soft Skills:
Excellent presentation skills including creation of documents and delivery skills
Ability to independently manage and prioritize multiple projects while driving same to successful resolution in a timely and effective manner
Proven ability to meet client needs and build trust and confidence across broad client base
Ability to effectively advocate / problem-solve in real time while negotiating with sophisticated Vendors / opposing counsel as necessary to obtain desired outcomes and meet regulatory requirements
Ability to work independently yet collaboratively in a team setting with other attorneys, subject matter experts and business partners of all levels
Well-developed written and verbal communication skills
Poise and confidence necessary to deal with senior lawyers, opposing counsel and business leaders of complex organizations
Proven ability to work in a matrixed environment
