Description: Cargill is currently seeking to employ Generalist Lawyer †Mergers & Acquisitions/Joint Ventures right now, this position will be assigned in Minnesota. The person filling this position will provide legal counsel to Cargill, Incorporated as an in-house lawyer ! and as a member of the Cargill Law Department. This position will focus predominantly on mergers, acquisitions, divestitures, and joint ventures (MADJV) and will also provide commercial counseling to Cargill businesses as a generalist lawyer. This lawyer will act as a lead lawyer on Cargill†s most significant MADJV transactions and will mentor and coach newer lawyers working in this area. This lawyer will collaborate and work closely with other Cargill lawyers and paralegals, including those that provide legal advice in specialized areas such as environmental, labor/employment, and intellectual property.
The successful candidate will have experience working with mergers, acquisitions, divestitures and joint ventures. This position will advise on certain US securities laws matters in the context of MADJV transactions and business unit commercial transactions. This position will also advise on applicable insider trading securities regulations applicable to Cargill,! including advising employees on Cargill†s insider trading p! olicy. Principal job responsibilities include, but are not limited to, the following: 75% - Provide strategic legal counsel on mergers, acquisitions, divestitures, and joint ventures.
Engage legal teams, manage due diligence, assist with negotiations, draft transaction documentation, assist with regulatory reviews, close transactions, and handle post-closing matters 20% - Provide legal advice and risk management counseling to Cargill businesses on a broad range of legal and commercial matters, including customer and commercial contracts, real estate, regulatory and compliance issues, antitrust and litigation 5% - Advise on certain US securities laws matters as they arise in the context of M&A transactions involving public companies, including insider trading issues. Advise Cargill lawyers working on business unit commercial transactions on select US securities laws matters, including equity investments in private and public companies, exit strategies involving IPOâ! € s, and required regulatory filings. Coordinate Cargill†s insider trading policy and advise employees on insider trading obligations, including periodic training sessions for targeted employees.
