Corporate Counsel

Location: Bloomington, Minnesota

Responsible for Securities, Corporate Governance, M&A, and Finance legal affairs of Fortune 1000 manufacturing company, The Toro Company.
Securities attorney res! ponsible for SEC periodic (10-Q, 10-K) and current (8-K) reporting; executive officer stock trading and Section 16 (Forms 144, 3,4,5) compliance; drafting and facilitating completion of proxy statement; D & O questionnaires; annual meeting of shareholders; and NYSE listing standard compliance.
Handle legal aspects of mergers and acquisitions.
Work with multiple stakeholders including executives and members of the Board of Directors.
Report to Vice President, Secretary and General Counsel.

Duties and Responsibilities:
Securities

  • Ensure compliance with corporate governance requirements of the SEC’s rules and regulations and the NYSE’s listing standards; evaluate, implement and monitor appropriate corporate governance policies and procedures.
o Assist with preparation of Quarterly Reports and Annual Report; monitor corporate activities for events required to be reported on a Current Report, Form 8-K; coordinate p! reparation of Proxy Statement.
o Oversee compliance and as! sist with process for executive office stock trading and Section 16 (Forms 144,3,4,5) compliance.
o Oversee the maintenance of shareholder records; perform legal review of shareholder communications.
o Assist with the annual D&O questionnaires.
o Participate in the planning and implementation of the Annual Meeting of Shareholders.
o Assist with Corporate Secretarial responsibilities, corporate goverance and Sarbanes Oxley and Dodd-Frank compliance.

Mergers and Acquisitions:
  • Partner with Business Development function.
  • Draft and negotiate transaction documents.
  • Coordinate legal due diligence.
o Assist with integration planning and strategy.

Finance:
  • Prepare credit agreements and amendments.
  • Prepare guaranties and assurance letters.
  • Support joint venture relationship (floor plan financing).
  • Support division financing relationships.
  • Assist w! ith International subsidiary administration.
Compensation and Benefits

  • Work with Executive Compensation and Benefits function on incentive compensation, stock-based compensation, and qualified and non-qualified retirement plans.
  • Ensure ERISA compliance.
  • Support of the Management Investment Committee (fiduciary committee with oversight of 401(k) plan).
  • Review of 11-Ks.
Qualifications:
  • J.D. from a respected law school, and membership in good standing of at least one state bar (Minnesota preferred).
  • Excellent academic credentials.
  • Possess 5 + years of professional legal experience in a major law firm or in-house at a public company.
  • Personal and professional integrity.
  • Strong work ethic and drive for results.
  • Ability to find practical, creative and innovative solutions to complex legal problems.
  • Maintains the highest legal and ethical sta! ndards.
  • Communicates in a clear, concise, understandable manne! r, both orally and in writing.
  • Demonstrates solid expertise in securities and M&A laws and practice, and possesses superior skills and excellent judgment.
